Executive pay—and CEO compensation in particular—often raises eyebrows, and few topics unearth more opinions.
Boards must be able to attract—and retain—top CEO and upper management talent. They are further tasked with creating compensation plans that generate/reward desired behaviors and results by management. Further, the plans must be linked to companies’ strategic objectives and keep employees focused on both long and short-term goals. No one plan fits all companies or even all executives within a company.
Getting “pay for performance” right is a tremendous challenge for both the CEO and the board! Our panel will share their experiences and what they have found to be effective.
We will hear HOW the CEO communicates with the board about the management team’s pay, and who leads the discussion about CEO pay.
Are private company boards adopting public company practices—should they?
The panel will also cover current/hot button issues of the ever-influential proxy advisory firms such as:
- Adequacy of compensation disclosure
- Signing bonuses and employee contracts
- What is appropriate shareholder outreach/engagement?
- How are boards reacting to say–on–pay votes?
- What do you do with a “no” vote?
