"M & A--What Every Director Must Know"  with conversation leader Kimberly Alexy, corporate board consultant for mergers & acquisitions- fiduciary obligations/recommended legal structure/ director risks.  Every director has to understand reasons behind acquisitions, what flags to look for--green and red.  The Credit Suisse research released in Aug 2012--over six-year study of 2000 large-cap companies--demonstrated those with women board members performed better than those with all-male boards.  Reasons were generally that women were more risk-averse--not afraid of taking risks--but more thoughtful about those they vote for. Discussion will explore how to be smart about assessing risk?  M & A events unfortunately often mean reduction in numbers of women directors--that when companies are acquired, by private equity or public, the acquired board is dissolved, and women directors do often elected to the board of the acquiring company. An exception to that was Julie Hill, who when Anthem merged with Blue Cross of CA, she was invited to the Anthem board.

BIO:  Kimberly Alexy owns Alexy Capital Management in San Diego, a private investment fund she founded in 2005; she's a former sell-side equity research analyst on Wall Street; has served as Chaired Audit, Compensation, Nominating and Governance Committees.  Her boards include CalAmp (NASDAQ: CAMP), a $250 million wireless datacom company; Five9 (NASDAQ: FIVN), a cloud-based contact center; and previously SMART Modular (NASDAQ: SMOD), a $750 million memory module and solid state drive manufacturer; Dot Hill Systems (NASDAQ: HILL), a $250 million storage systems company; Southwest Water (NASDAQ: SWWC), a $200 million water and wastewater utility; Maxtor (NYSE: MXO), a $4 billion manufacturer of hard disk drives.She has completed board certification programs at Stanford, Northwestern, UCSD, and has been speaker for NACD, the Corporate Directors Forum in San Diego, is a member of both the Audit Committee Roundtable of Orange County and the Compensation Committee Roundtable of Orange County” She earned her BA from Emory University and her MBA in finance from the College of William & Mary.
