M&A Transactions Abound as Does Directors Risk and Responsibility
Private equity coffers are full of cash ready to bid, companies see growth through acquisition, and activists are looking to unlock value through a forced sale. As M&A opportunities grow, so do the complexity and the risks of the deals. What's the board's role as a seller in getting the best price? As the buyer, how do directors know the due diligence has uncovered all the risks? Will the go-forward new company succeed and meet expectations? Growth is great but can you stomach dilution for a long-term increase in value? Virtually all deals result in litigation; how does the board minimize risks and stay out of depositions? Come hear our panel of M&A veterans discuss the issues you need to know about. It's not a question of whether you will be involved in an M&A transaction, but when will you be confronted by issues surrounding a buy or sell transaction!
Our speakers for the evening’s panel include; Julie Allen Proskauer Partner in Corporate Department and a co-head of Capital Markets Group and Maureen Spivack Managing Director- co-head Healthcare Services KPMG Corporate Finance LLC
Best regards, see you soon.
